1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you and Vibranium Valley, an innovation hub operated by Venture Garden Group and its affiliates (“Vibranium Valley”, “we”, “us”, or “our”), located at Plot 1, Vibranium Valley Drive, Ikeja, Lagos, Nigeria. By accessing our website, attending our events, using our facilities, or participating in our programmes (the “Services”), you agree to be bound by these Terms.
If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. By accepting these Terms, you confirm that you meet this requirement and that you can lawfully enter into this agreement.
3. Membership, Bookings, and Programmes
Some Services (including coworking memberships, facility bookings, programme applications, and event registrations) are subject to additional terms, fees, and eligibility criteria communicated to you at the point of booking, application, or registration. Where those terms conflict with these Terms, the additional terms govern with respect to that specific Service.
All bookings are subject to availability and confirmation. Cancellation, rescheduling, and refund policies are set out at the time of booking.
4. Fees and Payment
Where Services are paid, fees are payable in advance unless otherwise agreed in writing. All fees are exclusive of applicable taxes unless stated otherwise. Late payments may attract interest and may result in suspension or termination of access.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose;
- Disrupt or interfere with the safety, security, or operation of our facilities or systems;
- Harass, threaten, or harm other members, staff, partners, or visitors;
- Use our facilities for activities that breach health, safety, or fire regulations;
- Store or transmit hazardous, illegal, or infringing materials on our premises or systems;
- Reverse engineer, scrape, or otherwise misuse our website or related platforms;
- Use our brand, name, or logos without prior written consent.
We reserve the right to refuse or revoke access to anyone who breaches these rules, without refund where appropriate.
6. House Rules and Safety
While at our premises, you must comply with our posted house rules, safety briefings, and reasonable instructions from our staff. You are responsible for the conduct of any guests you bring on-site.
7. Member-Provided Content and Materials
You retain ownership of content and materials you submit to us (such as applications, pitch decks, or event submissions). You grant Vibranium Valley a worldwide, non-exclusive, royalty-free licence to use such materials solely to operate, evaluate, and promote the Services, and to fulfil the purpose for which you submitted them.
You represent that you have the rights necessary to grant this licence and that your content does not infringe any third-party rights.
8. Our Intellectual Property
All content on our website and within our programmes—including text, graphics, logos, photographs, frameworks, and software—is owned by Vibranium Valley or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works without our prior written consent.
9. Confidentiality
In the course of participating in our programmes or partnerships, you may receive non-public information about Vibranium Valley, other members, partners, or founders. You agree to treat such information as confidential and use it only for the purpose for which it was disclosed.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
11. Third-Party Services
The Services may include or link to third-party content, products, or services. We do not control, endorse, or assume responsibility for any third-party services. Your use of them is subject to their terms.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the Services, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
Information shared through programmes, mentorship, or advisory sessions is provided for general guidance and does not constitute legal, financial, tax, or investment advice. You should obtain independent professional advice before acting on it.
13. Limitation of Liability
To the maximum extent permitted by law, Vibranium Valley and its affiliates, directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with the Services. Our total aggregate liability for any claim arising out of or in connection with the Services will not exceed the amounts you paid to us for the specific Service in the twelve (12) months preceding the event giving rise to the claim, or NGN 100,000, whichever is greater.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Vibranium Valley and its affiliates from and against any claims, losses, or expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Services; or (c) your violation of any law or third-party right.
15. Suspension and Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law, or if needed to protect the safety or rights of Vibranium Valley, our members, or others.
You may stop using the Services at any time. Provisions intended to survive termination—including those relating to intellectual property, confidentiality, disclaimers, limitation of liability, and governing law—will continue to apply.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms will first be addressed through good faith discussion. If not resolved within thirty (30) days, the dispute will be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023, by a sole arbitrator appointed by mutual agreement (or, failing agreement, by the Lagos Court of Arbitration). The seat of arbitration is Lagos and the language is English.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of the Services after a change constitutes acceptance of the updated Terms.
18. Miscellaneous
These Terms (together with any additional terms applicable to specific Services and our Privacy Policy) constitute the entire agreement between you and us regarding the Services. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent.
